  • We reserve the right to modify these terms at any time. Continued use of our services after changes constitutes acceptance of the modified terms.

2. Description of Services

  • Sahm provides Financial-as-a-Service (FaaS) solutions including payment processing, payout infrastructure, foreign exchange services, and compliance tools.
  • Our services are provided via APIs, dashboards, and other interfaces as described in our documentation.
  • We may modify, suspend, or discontinue any part of our services at any time with reasonable notice.

3. Account Registration

  • You must register for an account to use our services. You agree to provide accurate, current, and complete information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent activity.

4. Acceptable Use

  • You agree to use our services only for lawful purposes and in accordance with these terms.
  • You must not use our services for illegal activities, money laundering, terrorist financing, or any prohibited transactions.
  • You must not attempt to circumvent security measures, reverse engineer our systems, or interfere with service operations.
  • You must not use our services in any way that could damage, disable, or impair our infrastructure.

5. Payment Terms

  • Fees for our services are set forth in your service agreement or our published pricing.
  • You agree to pay all applicable fees and charges associated with your use of our services.
  • We may modify our fees with 30 days' notice. Continued use after the notice period constitutes acceptance of new fees.
  • All fees are non-refundable unless otherwise specified in your service agreement.

6. Intellectual Property

  • All content, features, and functionality of our services are owned by Sahm and protected by intellectual property laws.
  • You are granted a limited, non-exclusive, non-transferable license to use our services for your internal business purposes.
  • You may not copy, modify, distribute, or create derivative works based on our services without written permission.

7. Data and Privacy

  • Your use of our services is also governed by our Privacy Policy, which is incorporated by reference into these terms.
  • You are responsible for ensuring that your use of our services complies with applicable data protection laws.
  • You grant us the right to use anonymized and aggregated data derived from your use for improving our services.

8. Warranties and Disclaimers

  • We provide our services on an "as is" and "as available" basis without warranties of any kind.
  • We do not guarantee that our services will be uninterrupted, error-free, or secure.
  • We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

  • To the maximum extent permitted by law, Sahm shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
  • Our total liability for any claims arising from these terms or your use of our services shall not exceed the fees paid by you in the 12 months preceding the claim.
  • These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages.

10. Indemnification

  • You agree to indemnify and hold harmless Sahm, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:
  • Your use of our services
  • Your violation of these terms
  • Your violation of any third-party rights
  • Any content or data you submit through our services

11. Termination

  • Either party may terminate this agreement with 30 days' written notice.
  • We may terminate or suspend your access immediately for violations of these terms or illegal activity.
  • Upon termination, your right to use our services ceases immediately, though certain provisions survive termination.

12. Governing Law

  • These terms are governed by and construed in accordance with the laws of the State of California, United States.
  • Any disputes arising from these terms shall be resolved in the state or federal courts located in San Francisco County, California.
  • You consent to the exclusive jurisdiction of such courts.
